Acceptance of Terms

By downloading, installing, or using Inventory Pro ("App" or "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

Description of Service

Inventory Pro is a software application that provides inventory management solutions including:

• Real-time inventory tracking and management

License Grant

Software License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use Inventory Pro for your internal business purposes during your subscription period.

Restrictions

• Reverse engineer, decompile, or disassemble the App
• Create derivative works based on the App

User Accounts

• You are responsible for maintaining the security of your account credentials

• One person may not maintain multiple accounts

Account Responsibility

• You are responsible for all activities that occur under your account
• You must ensure that your team members comply with these Terms
• You must maintain appropriate access controls within your organization

Subscription and Payment

Subscription Plans

• Subscription details, including pricing and features, are described in the App
• Plans may be subject to change with appropriate notice

Payment Terms

• Subscription fees are charged in advance on a recurring basis
• Payment must be made through approved payment methods
• All fees are non-refundable except as required by law
• Taxes are additional and your responsibility

Auto-Renewal

• Subscriptions automatically renew unless canceled before the renewal date
• You will be charged the then-current rate for your subscription plan
• You can cancel auto-renewal through your account settings

Free Trial

• Free trial periods may be offered at our discretion
• Trial limitations and terms are specified during signup
• Trials may convert to paid subscriptions automatically

Acceptable Use

Permitted Use

You may use Inventory Pro to:

• Manage your legitimate business inventory
• Track products and stock levels
• Generate business reports and analytics
• Collaborate with authorized team members
• Integrate with approved third-party services

Prohibited Use

You may not use Inventory Pro to:

• Store or track illegal products or activities
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit harmful code or malware
• Attempt to gain unauthorized access to the Service
• Use the Service for competitive intelligence against us
• Store personal information of individuals without proper consent
• Exceed usage limits or attempt to circumvent restrictions

Data and Privacy

Your Data

• You retain ownership of all data you input into the App
• You are responsible for the accuracy and legality of your data
• You must have proper rights to all data you upload
• You grant us permission to process your data to provide the Service

Data Backup

• While we perform regular backups, you are responsible for maintaining your own data backups
• We recommend exporting your data regularly

Intellectual Property

• Inventory Pro and all related technology are owned by Deltara Tech
• All trademarks, logos, and brand names are our property
• These Terms do not grant you any ownership rights in the App

User Content

• You retain ownership of your business data and content
• You grant us a license to use your content solely to provide the Service
• You represent that you have rights to all content you upload

Feedback

Any feedback, suggestions, or ideas you provide about the App may be used by us without compensation or attribution.

Service Availability

Uptime

• We strive to maintain high service availability but do not guarantee 100% uptime
• Scheduled maintenance will be announced in advance when possible
• We are not liable for service interruptions beyond our reasonable control

Support

• Support is provided according to your subscription plan
• Support hours and response times vary by plan
• We reserve the right to limit support for accounts in violation of these Terms

Indemnification

You agree to indemnify and hold Deltara Tech harmless from any claims, damages, or expenses arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Your data or content uploaded to the App

Termination

By You

• You may cancel your subscription at any time through your account settings
• Cancellation stops future billing but does not provide refunds for the current period
• You may continue using the Service until the end of your current billing period

By Us

We may terminate your account for:

• Violation of these Terms
• Non-payment of fees
• Illegal or harmful use of the Service
• Extended periods of inactivity

Effect of Termination

Upon termination:

• Your access to the App will cease
• Your data will be retained for 30 days for potential recovery
• After 30 days, your data will be permanently deleted
• These Terms will survive termination where applicable

Updates and Changes

App Updates

• We may update the App to add features, fix bugs, or improve performance
• Updates may be automatic or require manual installation
• Continued use of the App after updates constitutes acceptance of changes

Terms Changes

• We may modify these Terms with reasonable notice
• Material changes will be communicated through the App or email
• Continued use after changes constitutes acceptance of new Terms

These Terms are governed by the laws of the State of Louisiana, USA, without regard to conflict of law principles.

Before formal legal action, we encourage you to contact us to seek informal resolution of any disputes.

Jurisdiction

Any legal disputes will be resolved in the courts of Louisiana, USA.

Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions.

Entire Agreement

These Terms, together with our Privacy Policy and any subscription agreement, constitute the entire agreement between you and Deltara Tech regarding the App.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures.
